Terms and Conditions
for online services (SaaS)

The following definitions are used throughout the document and apply regardless of them being capitalised or not:
Account - a unique account created for the User to access the Software or parts thereof
Device - any device that can be used to access the Software (for example, a personal or tablet computer, or a mobile phone, etc.);
Content - digital content which is made available by the Users (for example, clicks, text, images, or other information that can be posted, uploaded or linked) regardless of the form of that content.
Ligalio - SIA Ligalio, registration number: 40203341491, legal address: Vesetas iela 8 - 28, Riga, LV-1013, Latvia.
Terms - the terms and conditions contained herein.
Third-party Service - any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Software.
User - User of the Website and / or the Software.
Website - https://ligalio.com and https://app.ligalio.com.
The Terms serve as a binding agreement between the Users and Ligalio. The Terms must be carefully read by the Users before they use the Software, which is to be understood as a confirmation that the User agrees to the Terms.
Importantly, the Software itself only serves as a self-help tool and must be used by the Users at their own risk. Consequently, Ligalio undertakes absolutely no responsibility of any kind for the outcome that the use of the Software may produce.

Ligalio Software is a software as a service (SaaS) platform and operates on cloud-based software so that Users can easily access it via the internet without any need for installation.
The Software is meant only for business Users and is not intended for consumers – it is exclusively a business-to-business (B2B) product.
Ligalio is not a law firm and does not provide legal services of any kind.
Ligalio provides no warranty or undertaking and makes no representation of any kind that the Software will achieve any intended results, be compatible or work with any other software, systems or services, operate without interruption, meet any performance or reliability standards or be error-free or that any errors or defects can or will be corrected.
Without limiting the foregoing, Ligalio does not make any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Website, or the information included thereon; (ii) that the Website will be uninterrupted or error-free; or (iii) as to the accuracy, reliability, or recentness of any information or content provided through the Website.
The Software is available only as a paid service. Users are billed in advance.
At the end of each subscription period, the subscription automatically renews unless the User has cancelled it.
The subscription can be cancelled either through the Account section of the Website or by contacting Ligalio directly. After cancellation, the Software will be accessible until the end of the period for which the User subscribed.
The person registering an Account on behalf of a legal entity warrants that she/he has the legal capacity to enter into these Terms on the behalf of the represented legal entity and use the Software. For the sake of clarity, since each Account is personal, the User is also obliged to ensure that only one natural person may use each individual Account.
When a User creates an Account, only true, accurate, complete, and current information must be provided. Each Account may only be used to access the Software during one (1) concurrent login session. The User agrees to immediately notify Ligalio of any unauthorized use, or suspected unauthorized use of the Account or any other breach of security.
The User is responsible for keeping such information updated and complete. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of the account of the User on the Software.
The User agrees to be entirely responsible for any and all access or use of the Software under the Account and to be held liable for all actions and activities conducted under the designated Account.
The User is responsible for the Users' personal passwords and warrants to treat them as sensitive and confidential information. Ligalio encourages the use of personal passwords with sufficient password strength and the frequent change of personal passwords to prevent unauthorized access.
The User agrees not to disclose the User password to any third party. The User must notify Ligalio immediately upon becoming aware of any breach of security or unauthorized use of the Account.
The User may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than the User without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
Ligalio reserves the right to terminate any Account(s) if such activities occur which constitute or may constitute a violation of these Terms or of any applicable local or international laws, rules or regulations.
The subscription fee of EUR 99/year + taxes must be paid in advance for the whole subscription period (12 months). The User is responsible for any taxes and for all other charges (for example, currency exchange settlements). The price of EUR 99/year stated for the Software excludes all taxes and VAT charges.
All subscription fees paid are non-refundable.
When a User completes the online payment form, funds are deducted from the User's credit or debit card in EUR currency. All payments are debited to Ligalio. Because transactions are processed by external banking sites, there may be a delay of up to 3 days in updating the User's payment in Ligalio records.
The User may incur additional costs from violating the Terms. The User will be charged for any unauthorized use of the Software, being equal to the fees which Ligalio would have charged on the date when the breach occurred.
Ligalio will notify the User in advance, either through the Software itself or the email address the User most recently provided to Ligalio, if the price for the Software changes. The change in pricing will not affect the already purchased subscriptions and will only apply to Software subscriptions purchased or renewed after the price change comes into force.
The User must be authorized to use the payment method that is provided to Ligalio upon the creation of a billing account. The User authorizes Ligalio to apply a charge for the Software using the provided payment method and for any paid feature of the Software that the User chooses to sign up for or use while the Terms are in force.
The User must keep all billing information current. The User can access and modify the billing information in the Account of the Website.
Unless otherwise provided in these Terms, Ligalio may vary the applicable fees in each year of the subscription.
Important note: the online payment can only be made if: (1) the payee is at least 18 years old; (2) the payee has appropriate authority to make an online payment for the Software; (3) the credit or debit card used in connection with the Software is issued in the name of the payee or the payee is authorized to use the credit or debit card; (4) the payee pays the credit or debit card issuer all charges incurred in relation to the use of the Software; and (5) the information supplied by the payee is true and correct.
By using online credit or debit card facilities, you accept and consent to your personal data being provided to the service provider for sole purpose of offering and administering the online payment. At your written request, Ligalio may do invoicing to the e-mail address given by the User.
If payment was successful, you will receive a confirmation notice of your completed payment.
If payment was unsuccessful, you will be advised that your payment has failed. Ligalio team will not be advised why a payment has failed; therefore, you should contact your credit or debit card provider for details.
Important security note: never transmit credit or debit card information by e-mail.
The Software and its original content, features, functionality, and design elements remains the exclusive intellectual property of Ligalio. Ligalio intellectual property may not be used in connection with any product, service or other software without prior written consent.
Fragments of or the entire content made available on the Software shall constitute Ligalio intellectual property, and shall be subject to legal protection, including trademarks, logos and other figurative marks.
The User generated meta data belongs solely to the User.
Ligalio grants to the User a revocable, non-exclusive, non-transferable, limited right to access and use the Software, only for your internal needs and strictly in accordance with these Terms.
The permitted Users may only access and use the Software through the Website and only with valid Software Accounts.
Ligalio respects the intellectual property rights of others. It is Ligalio policy to respond to any claim that Content posted on the Software infringes a copyright or other intellectual property infringement of any person.
Limitation of Liability
Ligalio undertakes no responsibility with concern to the legal outcome when using the Software.
Ligalio is not liable for damage caused by modifications or changes to the Software made according to the instructions of the User or performed by anyone other than Ligalio (including but not limited to changes made by you or on your behalf).
To the maximum extent permitted by applicable law, in no event shall Ligalio or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Software, third-party software and/or third-party hardware used with the Software, or otherwise in connection with any provision of these Terms), even if Ligalio or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Notwithstanding any damages that the User might incur, the entire liability of Ligalio shall be limited to the amount of the subscription fee for a period not exceeding 12 (twelve) months.
Some countries do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these countries, each party's liability will be limited to the greatest extent permitted by law.
Data Protection and Confidentiality
Ligalio will treat all User data, including personal data, as private and confidential, even when the User no longer uses the Software. Ligalio will not disclose and use any confidential and personal information except for the purpose of providing the Software, when instructed by the User himself, where Ligalio needs to protect its rights, or where Ligalio is required to do so by law, or by virtue of applicable regulatory requirements.
Ligalio and the User agrees not to provide personal data to each other unless the performance of the Software requires the use of such personal data.
The User is responsible for maintaining the confidentiality of the Account login credentials and is fully responsible for all activities that occur under the Account.
Ligalio and the User agrees and undertakes not to disclose to third-parties confidential information that has become available or has become known during the provision of the Software, except in cases provided by law.
If the confidential information provided by the User also includes personal data, the User is obliged to confirm that he/she has all the necessary consents and the right to transfer this personal data to Ligalio, if requested.
Ligalio is not responsible for the Content of the Users. The User expressly understands and agrees that the User is solely responsible for the Content and for all activity that occurs under the Account, whether done so by the User or any third person using the Account.
The User may not transmit any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libellous, defamatory, obscene or otherwise objectionable.
Ligalio reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any Content is appropriate and compliant with the Terms, refuse or remove any Content. Since Ligalio cannot control the Content posted by Users or any third party, the User agrees to use the Software at personal risk. The User understands that by using the Software the User may be exposed to content that the User may find offensive, indecent, incorrect, or objectionable, and the User agrees that under no circumstances Ligalio will be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of using any Content.
Although Ligalio performs regular Content backups, there can be no guarantee that no loss or corruption of data will occur.
Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted prior to it being backed up or that changes during the time a backup is performed.
Ligalio will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Content. The User acknowledges that Ligalio has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.
Links to Other Websites
Software and Website may contain links to third-party websites or services. That doesn't mean Ligalio controls or endorses those websites, or any goods or services sold therein.
Ligalio does not control and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or services. The User acknowledges and agrees that Ligalio shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.
Ligalio strongly advises Users to read the terms and conditions and privacy policies of any third-party websites or services visited.
Changes to the Terms
Terms may be modified at any time and for any reason, including the fees and charges associated with the use of the Software. If the Terms are changed or updated, the updated Terms will be posted on the Website and Ligalio will inform Users about this via email or in-app notification. The updated Terms will become effective and binding on the next business day after the notification is sent or posted.
If the User does not agree to the changes, he or she should stop using or logging onto the Website.
Changes to the Software
Ligalio strives to deliver improvements to the Software as soon as possible. Because of this Ligalio reserves the right to modify the Software at any time including, but not limited to: (i) functionality; (ii) features; and (iii) services. The main meta data of the managed contracts and all necessary data on the contents of contracts will be preserved.
All new functionality, features or services introduced to the Software will be equally subject to these Terms.
Ligalio will attempt best efforts to keep the Software operational and fully functional during the changes described above.
Restrictions on Sanctions
The Software may be used for lawful purposes only. The User agrees that when using the Software or communicating via Software that illegal material cannot be posted, transmitted or otherwise distributed.
The User acknowledges the following:
- the User is not, and to its knowledge, none of its directors, officers, employees or subcontractors is a person who is the target of any applicable sanctions law or regime (including, but by no means limited to, any applicable list of specially designated nationals or blocked persons). The User acknowledges and agrees that, in the event that it or, to its knowledge, any of its owners, directors, officers, employees, or subcontractors is targeted by an applicable sanctions law or regime or appears on any applicable list of specifically designated nationals or blocked persons, it shall immediately notify Ligalio, at which point Ligalio can and shall cease all payments and terminate the Account without any notice.
- the User will: (i) comply with all applicable child labour laws; (ii) not use forced, bonded, prison, military or compulsory labour; (iii) comply with all applicable laws on abuse of employees and will not physically abuse employees; (iv) comply with all applicable laws on freedom of association and collective bargaining; (v) comply with all applicable non-discrimination and equal opportunity laws; (vi) comply with all applicable wage and benefits laws; (vii) comply with all applicable work hours and overtime laws; (viii) comply with all applicable health and safety laws; (ix) comply with all applicable environmental laws; and (x) demonstrate compliance with each of the foregoing at the request and to the reasonable satisfaction of Ligalio.
If Ligalio finds that the User violates these Terms, Ligalio reserves the right to suspend or revoke access to the Account immediately, without repaying to the user the fees paid for the use of the Software.
Warranties and Disclaimer
Ligalio provides the Software using a commercially reasonable level of care and promises to do the possible best in making sure that Users enjoy the Software.
However, Ligalio does not undertake any commitments about the content within the Software, provided by the User or other authorized representatives.
In no event shall Ligalio be liable for any special, direct, indirect, consequential, or incidental damages or any damages whatsoever, whether in an action of contract, negligence or other tort, arising out of or in connection with the use of the Software or the contents of the Software.
Ligalio reserves the right to make additions, deletions, or modifications to the contents on the Service at any time without prior notice.
These Terms are governed by and construed in accordance with the laws and regulations of the Republic of Latvia, without regard to its conflict of laws rules. The User expressly agrees that the exclusive jurisdiction for any claim or dispute under these Terms and or the use of the Software shall be settled by a court of general jurisdiction of the Republic of Latvia and that the laws and regulations of the Republic of Latvia will apply.
Duration and Termination
If it turns out that a particular provision in these Terms is not enforceable, that will not affect any other provision.
These Terms are considered to be in effect from the day that the User accepts them, i.e. when the User first accesses or uses the Software and ceases to be in effect when the User terminates the Account(s). Upon termination, the right of the User to use the Software will immediately cease. Ligalio may offer assistance in exporting User data, however, this may be subject to an additional cost.
